Confidentiality, Non-Disclosure, and No-Fault Agreement

This Confidentiality, Non-Disclosure, and No-Fault Agreement ("Agreement") is made and entered into as of [Date], by and between [Client Name], located at [Client Address] ("Client"), and [Pro Se Litigant Name], located at [Pro Se Litigant Address] ("Pro Se Litigant"), collectively referred to as the "Parties."

1. Purpose:

The Parties hereby agree to enter into this Agreement to protect the confidentiality of certain information disclosed by the Pro Se Litigant to the Client in relation to legal matters and to establish a "no fault" basis for their relationship.

2. Definition of Confidential Information:

Confidential Information shall include, but is not limited to, any and all information, whether oral, written, or otherwise, disclosed by the Pro Se Litigant to the Client, including but not limited to legal strategies, case details, documentation, communications, and any other information relating to the legal matters of the Pro Se Litigant.

3. Non-Disclosure Obligations:

The Client agrees that they shall not disclose, reveal, or communicate to any third party, without the prior written consent of the Pro Se Litigant, any Confidential Information received from the Pro Se Litigant.

4. Exceptions:

Notwithstanding the above, Confidential Information shall not include information that:

a. Is already known to the Client at the time of disclosure.

b. Is or becomes publicly available through no fault of the Client.

c. Is rightfully obtained by the Client from a third party without any obligation of confidentiality.

d. Is independently developed by the Client without reference to the Confidential Information provided by the Pro Se Litigant; or

e. Is required to be disclosed by law, court order, or government agency.

5. No Fault Clause:

The Parties acknowledge and agree that this Agreement is entered into on a "no fault" basis. Each Party agrees that no admission of fault, liability, or wrongdoing, whether legal, moral, or otherwise, is made by the execution of this Agreement. The Parties expressly agree that the execution of this Agreement is a compromise of disputed claims and is entered into solely for the purpose of avoiding the expense and inconvenience of litigation.

Each Party further agrees that the terms and conditions of this Agreement are entered into voluntarily and with full knowledge of their legal significance. This Agreement is not to be construed as an admission of liability by any Party and shall not be used or referred to as such in any proceeding or forum, whether judicial, administrative, or otherwise.

6. Protection of Confidential Information:

The Client agrees to take all reasonable precautions to protect the confidentiality of the Confidential Information and to prevent it from falling into the hands of unauthorized persons.

7. Term:

This Agreement shall remain in effect indefinitely from the date of execution unless terminated by mutual written agreement of the Parties or by operation of law.

8. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
